1. Acceptance of Terms
By accessing or using the Green Meter platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you may not use the platform. These terms apply to all visitors, users, and others who access or use the service.
2. Description of Service
Green Meter is an AI-powered ESG analytics platform that provides automated document processing, metric extraction, SEBI compliance validation, and sustainability reporting tools. The platform processes uploaded documents using optical character recognition, natural language processing, and machine learning technologies. The service is provided on an “as-is” and “as-available” basis.
3. User Accounts
To use the platform, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms or are inactive for an extended period.
4. Acceptable Use
You agree to use the platform only for lawful purposes and in accordance with these terms. You may not use the platform to upload content that you do not have the right to share, attempt to gain unauthorized access to our systems, interfere with or disrupt the platform or its infrastructure, reverse engineer, decompile, or disassemble any part of the platform, use automated means to access the platform except through our provided APIs, or use the platform to process documents containing classified or restricted government information without appropriate authorization.
5. Intellectual Property
The Green Meter platform, including its design, features, algorithms, documentation, and all related intellectual property, is owned by Green Meter. You retain ownership of all documents you upload and the data contained within them. By uploading documents, you grant us a limited license to process, analyze, and store them for the purpose of providing the service. We do not claim ownership of your content.
6. Fees and Payment
Paid plans are billed monthly or annually as selected during subscription. All fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days advance notice. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect. Free trial periods may be offered at our discretion.
7. Termination
Either party may terminate this agreement at any time. You may cancel your account through the platform settings. We may terminate or suspend your account immediately for violations of these terms. Upon termination, your right to use the platform ceases. We will retain your data for the period specified in our Privacy Policy to allow you to export your information.
8. Disclaimers
Green Meter provides AI-assisted ESG metric extraction and validation. While we strive for accuracy, the platform is a tool to assist your reporting process and should not replace professional judgment. Extracted metrics should be reviewed by qualified personnel before submission to regulatory bodies. We do not guarantee that the platform will be error-free, uninterrupted, or that extraction results will be 100% accurate.
9. Limitation of Liability
To the maximum extent permitted by law, Green Meter shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses resulting from your use or inability to use the platform. Our total liability for any claims arising out of these terms or the service shall not exceed the amounts paid by you in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Green Meter, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the platform, your violation of these terms, or your violation of any rights of another party, including intellectual property rights.
11. Changes to Terms
We reserve the right to modify these terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Your continued use of the platform after changes become effective constitutes acceptance of the revised terms.
12. Privacy
Your use of the platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the platform, you consent to the data practices described in our Privacy Policy.
13. Support
Support is provided according to your subscription plan. Starter plan users receive email support with a 2-business-day response time. Professional plan users receive priority email support with a 1-business-day response time. Enterprise plan users receive dedicated support with a same-day response guarantee and a designated account manager.
14. Force Majeure
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, network failures, or third-party service outages. The affected party will use reasonable efforts to mitigate the impact and resume performance as soon as practicable.
15. General Provisions
These terms constitute the entire agreement between you and BRSR Analytics regarding the platform. If any provision is found invalid, the remaining provisions continue in effect. Our failure to enforce any right does not constitute a waiver. These terms are governed by the laws of India. Any disputes shall be resolved through binding arbitration in Mumbai, India, under the Arbitration and Conciliation Act, 1996.
